Terms of Service

"Platform" refers to all nsxia products and services accessible at nsxia.com and associated domains.

"Customer", "you", or "your" refers to the individual or organisation that has created a nsxia account.

"User" refers to any individual authorised by a Customer to access the Platform under their account.

"Content" refers to any data, text, files, or information that you upload, submit, or transmit through the Platform.

"Subscription" refers to a paid plan for one or more nsxia products as described on our pricing pages.

To use nsxia, you must register for an account using a valid email address. You agree to provide accurate, complete, and current information and to keep it updated.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at [email protected] if you suspect unauthorised access to your account.

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By registering, you represent that you meet this requirement.

Each account may represent one organisation. Sharing accounts between unrelated organisations is not permitted.

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to any part of the Platform or other accounts
• Reverse-engineer, decompile, or attempt to derive source code from the Platform
• Use the Platform to send unsolicited bulk email or spam
• Scrape, crawl, or index the Platform through automated means without prior written consent
• Resell, sublicense, or transfer your account or access rights to third parties
• Use the Platform for fraudulent, deceptive, or illegal purposes
• Interfere with or disrupt the integrity or performance of the Platform

We reserve the right to suspend or terminate accounts that violate these terms, without prior notice where necessary to protect the Platform or other users.

Free tiers. Each nsxia product offers a free tier with defined usage limits. Free tiers are provided at our discretion and may be changed with 30 days' notice.

Paid subscriptions. Paid plans are billed in advance on a monthly or annual basis. Prices are displayed on our pricing pages and are subject to applicable taxes.

Unified billing. All active subscriptions are consolidated into a single monthly invoice. By subscribing to multiple products, you authorise us to charge your payment method for the aggregate amount.

Upgrades and downgrades. Plan changes take effect immediately. Upgrades are charged pro-rata; downgrades take effect at the next billing cycle.

Failed payments. If a payment fails, we will retry up to three times over seven days. Subscriptions may be suspended after repeated failures. You remain responsible for outstanding amounts.

Refunds. We offer a 14-day refund on new paid subscriptions. After this period, payments are non-refundable except where required by law.

Taxes. Prices displayed may exclude VAT, GST, or other applicable taxes, which will be added at checkout based on your billing address.

You may cancel your subscription at any time from your account dashboard at nsxia.com. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the period ends.

Deleting your account immediately terminates all subscriptions and schedules data deletion within 30 days.

Platform ownership. nsxia and its licensors own all rights to the Platform, including software, design, trademarks, and documentation. These Terms do not grant you any ownership rights in the Platform.

Your content. You retain full ownership of all Content you upload or create within the Platform. By using the Platform, you grant nsxia a limited, non-exclusive licence to store, process, and display your Content solely to provide the services to you.

Feedback. If you provide suggestions or feedback about the Platform, you grant nsxia a royalty-free licence to use that feedback without obligation or compensation to you.

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. For business customers processing personal data of end users, our Data Processing Agreement governs that processing.

We strive to maintain 99.9% platform uptime. Scheduled maintenance will be announced with at least 24 hours' notice where possible. We are not liable for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.

We reserve the right to modify, suspend, or discontinue any feature of the Platform with reasonable notice. We will provide at least 60 days' notice before discontinuing a paid product.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NSXIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM.

Our total cumulative liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid to nsxia in the 12 months preceding the claim, or (b) USD $100.

You agree to indemnify and hold harmless nsxia, its officers, directors, employees, and agents from any claim, demand, loss, or damages, including reasonable legal fees, arising out of or related to your use of the Platform, violation of these Terms, or infringement of any third-party rights.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the courts of Delaware, and you consent to the personal jurisdiction of those courts.

If you are a consumer in the European Union, you may also bring claims before the courts of your country of residence.

We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
